The agreement between us

These terms govern your use of this website and anything you buy through it. Development projects are additionally governed by the written proposal and contract for that project; where the two disagree, the project contract wins.

They are written in plain language on purpose. A contract nobody can read is a contract nobody can follow, and a clause that only makes sense to a lawyer is a clause we will end up arguing about.

Who you are contracting with

WebMotion HQ, a software development company with offices in Lagos, Nigeria and Edinburgh, United Kingdom. In these terms "we" and "us" mean WebMotion HQ, and "you" means the person or organisation using the site or buying from it. Contact: support@webmotionhq.com.

Using this website

You may read, quote and link to anything published here. Quoting an article and linking back needs no permission from us.

You may not scrape the site at a rate that degrades it for other visitors, attempt to reach areas you have not been granted access to, upload anything malicious, or resell access to material you obtained here.

We may change, suspend or withdraw any part of the site. We will not do so capriciously, but we do not guarantee uninterrupted availability of a free marketing website.

Accounts

Some areas require an account. You are responsible for keeping your credentials confidential and for activity under your account. Tell us promptly if you believe an account has been compromised and we will help you secure it.

Do not share one account across a team where the purchase was for a single person. If you need multiple seats, ask and we will price it — that is a cheaper conversation than the alternative.

We may suspend an account being used to breach these terms. Where we do, we will tell you why.

Development projects

Scope, timeline, price and payment schedule are set out in a written proposal. Nothing on this website constitutes a quotation or a binding offer.

Who owns the code

On receipt of final payment, ownership of the bespoke code written specifically for your project transfers to you. Two categories do not transfer, because they cannot:

• Third-party open-source components remain under their own licences. Nobody can transfer ownership of these — not us, not anyone.
• Our pre-existing tools, libraries and internal frameworks stay ours. You receive a perpetual, non-exclusive licence to use them as part of the delivered system, including if you later move the work to another supplier.

We will tell you before a project starts which components fall into each category, so this is never a surprise at handover.

Your material

Content, data and branding you supply remain yours. You confirm you have the right to give them to us. We will not use your production data for anything other than delivering and supporting your project.

Changes to scope

Work outside the agreed scope is quoted separately before it starts. We do not begin unscoped work and invoice for it afterwards.

Showing the work

We may describe work we have done and show screenshots, unless the contract says otherwise or you ask us not to. Ask, and we will remove it — no negotiation.

Courses

Course purchases grant one person a personal, non-transferable licence to view the material for as long as the course remains available. You may not record, redistribute, or share access.

If a course does not deliver what its description promised, tell us within 14 days of purchase and we will refund it. Refunds are not available where a substantial portion has already been consumed, since there is nothing left to return.

Templates and downloads

A purchase grants a licence to use the item in your own projects, including projects you build for your own clients. It does not grant the right to resell, redistribute, or republish the item itself, modified or not, as a competing product or on a template marketplace.

Digital items are non-refundable once downloaded, because a download cannot be returned. If an item is materially broken or not as described, contact us within 14 days and we will fix it or refund it.

Payment

Prices are shown in the currency displayed at checkout and exclude taxes or bank charges applicable in your jurisdiction. Project invoices are payable to the schedule in the contract.

We may pause work on an overdue account after giving notice. We will give that notice before stopping, not after.

Support and maintenance

Where you hold a support or maintenance agreement, response times are those set out in that agreement. Outside such an agreement, support is provided on a reasonable-efforts basis and we make no commitment to response times.

What we warrant

We warrant that project work will be performed with reasonable skill and care, and that delivered software will materially conform to the agreed specification. We will correct defects reported within the warranty period stated in your contract, at no charge.

Beyond that, the website and its free content are provided as they are. We do not warrant that this site will be error-free, that articles remain current, or that any commercial outcome will follow from acting on them. Nothing published here is legal, financial or professional advice.

Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Subject to that, we are not liable for indirect or consequential loss, loss of profit, loss of business, or loss of data. Our total liability arising from any project is limited to the fees paid to us for that project; for anything else, to the amount you paid us in the preceding twelve months.

These limits are a deliberate allocation of risk between us, and they are reflected in our pricing. If your project needs a higher cap, say so before we quote — it is a commercial conversation, not a refusal.

Ending an engagement

Either party may terminate a project as set out in the contract. On termination you pay for work completed to that point, and we hand over what has been paid for.

We do not withhold delivered work over a disputed invoice for work that was not delivered.

Third-party services

Systems we build often integrate services we do not control — payment providers, mapping, messaging, hosting. We are not responsible for their availability, their pricing changes, or their terms, though we will help you respond when any of those change.

Confidentiality

Each of us will keep the other's confidential information confidential, and use it only for the purpose it was shared. That obligation survives the end of a project. Where a separate non-disclosure agreement exists, it takes precedence over this section.

Changes to these terms

We update the review date at the top of this page when these terms change. Changes are not retrospective: the version in force when you made a purchase or signed a contract governs that transaction.

Governing law

These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have jurisdiction. If you are contracting from elsewhere, this does not remove any mandatory consumer protection you have at home.
